These Terms of Service ("Terms") are a binding agreement between you (and, if you use the Service for an organization, that organization) ("you", "Customer") and JAGODANA LLC, a United States limited liability company, operating Imejis.io ("Imejis", "we", "us"). They govern your use of our website, image-generation API, editor, integrations, and MCP server (the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1 eligibility and accounts1. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract. You are responsible for your account credentials and API keys, for all activity under your account, and for keeping your credentials confidential. Notify us promptly at support@imejis.io of any unauthorized use.

2 the service and plans2. The Service and plans

We provide tools to design templates and render them into images via the website, API, and MCP server. Features, quotas, and limits depend on your plan. We may add, change, or remove features over time.

3 fees billing and taxes3. Fees, billing, and taxes

Paid plans are billed in advance on a recurring basis through our payment processor (Stripe). You authorize us to charge your payment method for all fees. Fees are exclusive of taxes, which you are responsible for. Except as required by law or stated in our Refund Policy, fees are non-refundable. We may change pricing with notice; changes apply to the next billing cycle.

4 acceptable use4. Acceptable use

Your use of the Service must comply with our Acceptable Use Policy. We may suspend or limit the Service to protect it, our users, or third parties, or to comply with law.

5 customer content and license5. Customer content and license

"Customer Content" means the designs, templates, images, fonts, text, and data you upload to or render through the Service. As between you and us, you retain all rights to your Customer Content. You grant us a worldwide, non-exclusive license to host, store, process, transmit, and render Customer Content solely to provide and improve the Service and as directed by you.

You represent that you have all rights necessary to your Customer Content and that it does not infringe or violate any third-party rights or law. You are solely responsible for your Customer Content and the images you generate.

6 our intellectual property6. Our intellectual property

The Service, including its software, design, and content we provide (excluding Customer Content and third-party materials), is owned by JAGODANA LLC and protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable right to use the Service under these Terms. You may not copy, reverse engineer, resell, or create derivative works of the Service except as permitted by law.

7 third party services7. Third-party services

The Service may integrate with or link to third-party services (for example Stripe, Unsplash, and integrations you connect). Your use of those services is governed by their terms, and we are not responsible for them.

8 privacy and data processing8. Privacy and data processing

Our handling of personal data is described in our Privacy Policy. Where we process personal data on your behalf, our Data Processing Addendum applies and is incorporated into these Terms.

9 warranties and disclaimers9. Warranties and disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure.

We aim to keep the Service available and reliable, but we do not commit to a specific uptime level under these Terms. We may perform maintenance and may modify or discontinue features. Any separate service-level commitment must be agreed in a signed order or enterprise agreement.

11 limitation of liability11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER JAGODANA LLC NOR ITS SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12 indemnification12. Indemnification

You will defend, indemnify, and hold harmless JAGODANA LLC from claims, damages, and costs arising out of your Customer Content, your use of the Service, or your breach of these Terms or applicable law.

13 term and termination13. Term and termination

These Terms apply while you use the Service. You may stop using it and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or create risk or legal exposure. On termination, your right to use the Service ends; sections that by their nature should survive (including IP, disclaimers, liability limits, and indemnity) survive.

14 changes to these terms14. Changes to these Terms

We may update these Terms. For material changes we will provide notice (for example by email or in-product). Continued use after changes take effect constitutes acceptance.

15 governing law and disputes15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware, except that we may seek injunctive relief in any competent court. You and we agree to first try to resolve any dispute informally by contacting support@imejis.io.

16 miscellaneous16. Miscellaneous

These Terms, together with the policies referenced here, are the entire agreement between you and us regarding the Service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
